Quick Signals Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and QuickMechs ("QuickMechs," "Company," "we," "us," or "our") regarding your access to and use of Quick Signals, including our website, dashboard, alerts, mention tracking, analytics, and related features (collectively, the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
1.1 Agreement
By creating an account, clicking to accept, or using the Service, you confirm that:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You are legally able to enter this agreement
- You are at least 18 years old or the age of majority in your jurisdiction
1.2 Changes
We may update these Terms from time to time. Material changes will be indicated by an updated "Last Updated" date and, where appropriate, notice on the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
1.3 Related policies
These Terms should be read together with our Privacy Policy and Cookie Policy. Those documents govern how we handle personal data and cookies. These Terms do not replace them.
2. The Service
2.1 What Quick Signals is
Quick Signals is a social listening, monitoring, analytics, and competitive intelligence platform. Depending on your plan, it may:
- Monitor publicly available social media and web content
- Surface mentions, alerts, and dashboards
- Analyse markets and competitors
- Generate insights, classifications, and recommendations
- Support lead identification and outreach workflows
- Provide reporting and analytics tools
2.2 Licence to you
Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your authorised business purposes, including storing data and exporting reports as your plan allows.
2.3 Restrictions
You may not:
- Sublicense, resell, rent, lease, or transfer access to the Service
- Use the Service for unauthorised commercial purposes
- Access or use the Service on behalf of others without authorisation
- Circumvent security, rate limits, or technical measures
- Reverse engineer, decompile, or attempt to derive source code except where the law allows
- Use the Service for any unlawful purpose
3. Accounts
3.1 Registration
You must provide accurate, complete, and current information, keep your credentials confidential, and notify us promptly of unauthorised access. You are responsible for activity under your account.
3.2 Your responsibilities
You are responsible for:
- Keeping credentials secure
- Ensuring only authorised people use your account
- Complying with applicable law
- Not impersonating others or accessing accounts that are not yours
3.3 Suspension and termination by us
We may suspend or terminate access if:
- You materially violate these Terms
- You engage in fraud, abuse, or illegal activity
- You fail to pay amounts owed
- We are required to do so by law
- Continued access would create a security, legal, or operational risk
Where practical, we will give notice and a reasonable opportunity to remedy a breach, except where delay would reasonably create legal, security, or fraud risk. Prolonged inactivity may result in account deactivation after notice.
3.4 Termination by you
You may close your account at any time through account settings or by contacting us at contact@marketsignal.com. After closure, access ends and we handle remaining data as described in the Privacy Policy.
4. Fees, cancellation, and refunds
4.1 Plans
We may offer free trials, subscription plans, and usage-based charges (for example contact unlocks or similar metered features), as described at purchase.
4.2 Billing
Fees, billing intervals, and applicable taxes are shown at checkout or on the Service. Paid plans renew automatically unless you cancel before the renewal date. We may change prices with reasonable notice. Changes apply to later billing periods unless otherwise required by law.
4.3 Payment
You authorise us and our payment processors to charge your payment method for plan fees and authorised usage charges.
4.4 Cancellation
You may cancel at any time. Cancellation takes effect at the end of the current paid period unless we state otherwise or law requires an earlier effective date. You remain responsible for charges incurred before cancellation takes effect.
4.5 Refunds
Except where required by law, fees are generally non-refundable. We may consider refund requests at our discretion, including for unused annual plans requested within a reasonable time after purchase. Contact contact@marketsignal.com.
4.6 Late or failed payment
If payment fails, we may retry the charge, suspend access until payment is received, and, after reasonable notice, terminate the account. Any late charges will only apply if permitted by law and disclosed to you.
5. Acceptable use and outreach
5.1 Prohibited use
You agree not to use the Service to:
- Violate any applicable law
- Harass, threaten, defame, or harm others
- Send spam or unsolicited communications in violation of law
- Collect or use data for unauthorised purposes
- Impersonate others or commit fraud
- Introduce malware or attempt to hack the Service
- Violate others' privacy or intellectual property rights
- Bypass platform, API, or access controls
5.2 Outreach, marketing, and communications
If you use Quick Signals data or drafts for outreach, lead generation, marketing, or other communications, you are the sender. You must comply with applicable law (including CAN-SPAM, TCPA, GDPR, and similar rules where they apply), honour opt-outs, and not misrepresent your identity or purpose.
Quick Signals requires human review and approval before any AI-generated message is sent or posted. We do not autonomously send messages or publish content on your behalf.
6. AI and automated analysis
The Service may use automated systems, including AI, to:
- Analyse publicly available content
- Perform sentiment analysis and classification
- Detect trends and generate insights or drafts
These outputs are assistive. They may be incomplete or incorrect. You are responsible for reviewing outputs before relying on them or taking action. Automated analysis does not mean we send, post, or transact on your behalf without your approval.
7. Intellectual property
7.1 Our IP
The Service, including software, design, and documentation, is owned by QuickMechs or our licensors and is protected by intellectual property laws.
7.2 Your content
You retain ownership of content you submit (such as account details, alert configuration, notes, and approved messages). You grant QuickMechs a limited, worldwide, non-exclusive licence to host, process, and use that content solely as reasonably necessary to provide, operate, secure, and improve the Service.
7.3 Feedback
You may provide feedback. We may use it to improve the Service without obligation to you.
7.4 Third-party content
The Service may display content from social platforms, public sources, and other providers. We do not own that content. It remains subject to the rights of its owners and to applicable platform terms, licences, and APIs. We do not claim fair use as a blanket right to that content.
8. Public data, platforms, and APIs
Quick Signals is designed to work with publicly available information. We do not access private accounts, private messages, or content behind a login wall, and we do not circumvent platform authentication or access controls.
Use of third-party platforms is subject to those platforms' terms and API rules. If a platform limits, changes, or withdraws access, related features may be reduced or unavailable. We are not those platforms and are not responsible for their content, availability, or policies.
9. Privacy and data
Personal data is processed as described in our Privacy Policy. These Terms do not constitute additional consent to processing beyond what that policy and applicable law allow.
Cookies and similar technologies are described in our Cookie Policy.
We use reasonable administrative, technical, and organisational measures designed to protect information. No system is completely secure.
We retain information as needed to provide the Service and as described in the Privacy Policy.
10. Confidentiality
Each party may receive confidential information from the other (for example, your alert configurations, drafts, and business information; our non-public product, security, and pricing information). The receiving party will use that information only to perform under these Terms and will not disclose it except to personnel or service providers who need it and are bound to protect it, or as required by law. This does not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidence.
11. Third-party services
The Service may rely on social platforms, data providers, payment processors, hosting, analytics, and AI providers. Those services are operated by third parties under their own terms. We are not responsible for their acts, omissions, outages, or changes, except to the extent we cannot exclude that responsibility under applicable law.
External links are provided for convenience. We do not control or endorse third-party sites.
12. Warranties and limitation of liability
12.1 Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that insights, data, or AI outputs are accurate, complete, or timely.
You are responsible for verifying information before acting on it.
12.2 Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT WHERE LIABILITY CANNOT BE LIMITED, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
These limits do not apply to liability that cannot be excluded under applicable law, including (where such exclusion is prohibited) liability for fraud, or for death or personal injury caused by negligence.
13. Indemnity
You will defend and indemnify QuickMechs and our officers, directors, employees, and agents against claims, damages, and reasonable expenses arising from:
- Your use of the Service in violation of these Terms or law
- Your outreach or other communications
- Your infringement of third-party rights
- Disputes arising from how you use insights or contact data from the Service
14. Termination
Either party may terminate these Terms as described in Section 3. Upon termination, your licence ends, you must stop using the Service, and you remain responsible for amounts already owed. Sections that by their nature should survive (including intellectual property, confidentiality, limitation of liability, indemnity, and this survival clause) will survive.
15. Governing law and disputes
These Terms are governed by applicable United States law, except where mandatory local consumer or privacy law applies to you.
If a dispute arises, contact us first at contact@marketsignal.com. We will try to resolve it informally. If that fails, either party may propose mediation. Either party may then pursue claims in a court of competent jurisdiction. We have not adopted a mandatory arbitration or class-action waiver in these Terms.
16. Regional rights
Nothing in these Terms limits rights you may have under mandatory law, including GDPR, UK GDPR, CCPA/CPRA, PIPEDA, or similar regimes where they apply. How we handle personal data, and how you may exercise privacy rights, is described in the Privacy Policy. We do not make additional jurisdiction-specific promises in these Terms beyond what that policy and applicable law require.
17. General
These Terms, together with the Privacy Policy and Cookie Policy, are the agreement between you and QuickMechs for the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor in connection with a reorganisation or sale of assets.
